Terms of Service for Bess Floral & Moore Creations LLC

These Terms of Service ("Terms") govern your engagement with and use of the digital marketing services provided by Bess Floral & Moore Creations LLC. By engaging our services, you agree to be bound by these Terms.

1. Services

Bess Floral & Moore Creations LLC agrees to provide digital marketing services as outlined in the specific Service Agreement or Statement of Work executed between Bess Floral & Moore Creations LLC and the client. Services may include, but are not limited to, Search Engine Optimization (SEO), Pay-Per-Click (PPC) advertising, Social Media Marketing (SMM), and Content Marketing.

2. Timelines and Deliverables

Project timelines and key deliverables will be specified in the Service Agreement. While Bess Floral & Moore Creations LLC will make every reasonable effort to meet the agreed-upon deadlines, the client acknowledges that delays may occur due to factors beyond our control, such as platform algorithm changes, delays in client feedback, or technical issues. Bess Floral & Moore Creations LLC is not liable for such delays.

3. Payment Terms

Payment for services will be governed by the terms specified in the client's invoice and Service Agreement. Services are typically billed on a monthly retainer basis, payable in advance. Ad spend for PPC campaigns is a separate cost and is payable directly by the client to the advertising platform (e.g., Google, Meta) or will be managed by Bess Floral & Moore Creations LLC as a pass-through cost, as agreed upon.

Late payments may result in a suspension of services and/or incur late fees as outlined in the Service Agreement.

4. Client Obligations

The client agrees to provide timely access to necessary resources, including but not limited to website backends, advertising accounts, analytics data, and brand assets. The client is also responsible for providing prompt feedback and approvals to ensure the project progresses according to the agreed timeline.

5. Confidentiality

Both parties agree to treat all information shared during the engagement as confidential. This includes business strategies, performance data, and other proprietary information. This obligation of confidentiality shall survive the termination of the service agreement.

6. Intellectual Property

Upon full payment, the client shall own the rights to all final deliverables and creative work produced by Bess Floral & Moore Creations LLC specifically for the client's campaigns. However, Bess Floral & Moore Creations LLC retains the right to use the work and results for its own promotional and portfolio purposes. All pre-existing intellectual property, methodologies, and tools used by Bess Floral & Moore Creations LLC remain the property of Bess Floral & Moore Creations LLC.

7. Limitation of Liability

Bess Floral & Moore Creations LLC will provide services with professional skill and care. However, we do not guarantee specific results, such as a number one ranking on Google or a specific return on ad spend, as these are subject to factors beyond our control. In no event shall Bess Floral & Moore Creations LLC be liable for any indirect, special, or consequential damages, including loss of profits, arising out of the performance of our services.

8. Termination

Either party may terminate the Service Agreement with a written notice period, typically 30 days, as specified in the agreement. Upon termination, the client is responsible for all fees incurred up to the termination date. Bess Floral & Moore Creations LLC will cooperate in the orderly transition of account management to the client or another provider.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Bess Floral & Moore Creations LLC is registered.
